Denmark K/S Company
  • Denmark is a highly developed member state of the EU which has a standard level of taxation. The rate of corporate tax in Denmark is 25%. However, Danish legislation offers the opportunity of registering and using Danish enterprises with a zero rate of tax. These enterprises are known as Komanditsselskab or K/S.
  • The K/S is a limited partnership which has no less than two partners. One of the partners is a General Partner, whilst the other partners have the status of Limited Partners.
  • The legislation by default provides that operating body of a K/S company is the General Partner. However, there are no restrictions to appoint additional persons to position of directors or managers of a K/S company. Nonetheless, the General Partner bears the basic responsibility for the commercial activities and for the financial obligations of a K/S company.
  • The registration of a K/S company is carried out by the Danish Central Business Register which is also known as the CVR (Det Centrale Virksomhedsregister).

Directors/OfficersDenmark K/S companies require a minimum of 2 Partners, who may be natural persons or corporate bodies from any legal jurisdiction.
General Partner cannot be one and the same for several K/S.
Each Denmark K/S company must file a Register of its Partners with the Danish Central Business Register (CVR).
ShareholdersThe legislation on Danish K/S companies does not consider a status of shareholders.

  • Registration of a K/S company in Denmark provides the opportunity to operate a corporate instrument of a prestigious European country that may be exempted from taxation under certain conditions.
  • However, it should be noted that a K/S company, whereby the majority of capital shares are owned by partners from countries that have no double taxation treaties with Denmark, may be treated for taxation purposes as a company rather than as a partnership. Accordingly, the profit in accordance with the annual audit results may be subject to standard taxation.
  • A General Partner may not be assigned to more than one K/S company. Accordingly, along with the K/S company, the individual General Partner company must also be acquired. The General Partner is usually a corporate entity from either one of the classic offshore jurisdictions such as Belize or Panama, or of an EU country such as Cyprus, depending on the intended business activities of the K/S company.
