  • The Kingdom of the Netherlands is often called Holland which is not officially correct. North Holland and South Holland are provinces of the Netherlands, although the most developed of the twelve provinces. Legend states that the name "Holland" became widespread after the visit of Peter I and his entourage to the Netherlands when for brevity only the part of the country that was actually visited, namely Holland, was mentioned.
  • The Netherlands is a highly developed member state of the EU, and a jurisdiction with a standard level of taxation. The rate of corporate tax in Netherlands is 25%. However, Dutch legislation provides the opportunity of registering and using Netherlands enterprises with a zero rate of tax using a vehicle known as a Commanditaire Venootschaap (CV).
  • The CV is a limited partnership having no less than two partners. One of the partners is a General Partner, while the other partners have the status of Limited Partners.
  • The legislation by default provides that the operating body of a CV company is the General Partner. However, there are no restrictions to appoint additional persons to the position of director or manager of a CV company. Nonetheless, the General Partner bears the basic responsibility for the commercial activity and for the financial obligations of a CV company.

Beneficial Ownership information Information with regard to ultimate beneficial ownership must be disclosed to the Registered Agent of a company and is held by the agent on a confidential basis.
Filing of Annual ReturnAn Annual Return must be submitted every 12 months after the date of registration.
Filing of Financial StatementsFinancial Statement must be prepared by the company every year.
Corporate TaxationCorporate Tax rate for Netherlands CV companies with non-resident partners is 0%.

  • Registration of a CV company in the Netherlands provides the opportunity to operate a corporate instrument of a prestigious European country that may be exempt from taxation under certain conditions.
  • One General Partner may not be assigned to more than one CV. Accordingly, along with any CV company, the individual General Partner company must be acquired. This is normally a corporate entity from one of the classic offshore jurisdictions such as Belize or Panama.
  • It should also be noted that regulations in the Netherlands do not provide for the transfer of control to the company owner. All operations are carried out by a resident representative in the Netherlands, and he will perform regular control of the company’s operations. Normally, general powers of attorney are not issued.
